ADONISSJA STUDIO — COMMERCIAL PARTNERSHIP TERMS OF SERVICE The following Commercial Terms govern all brand alignments, campaign distributions, asset provisions, and annual ownership arrangements executed by Adonissja Studio ("The Studio", "We", "Our"). By submitting a commercial brief, issuing a retainer deposit, or entering into a value-exchange agreement, the client ("The Brand", "You") completely agrees to these binding rules. 1. TIER 1: GIFTER TRADE PLACEMENTS 1.1 Ownership & Archiving: All content published under a Gifter Trade arrangement includes a strict 7-day wall permanence clause. Following the 7th calendar day of broadcast, Adonissja reserves the absolute right to archive the grid post or Reel to protect and preserve the aesthetic purity of the visual archive. 1.2 Delivery: The Brand agrees to cover all shipping, customs, or transactional costs associated with delivering physical merchandise or venue tokens. Content will not be mapped into the production schedule until assets are physically secured by The Studio. 2. TIER 2 & TIER 3: EDITORIAL CAMPAIGNS & ASSET LICENSES 2.1 Intellectual Property (IP) Rights: - For Tier 2 (£450), the creative assets generated remain the exclusive intellectual property of Adonissja. The Brand is strictly prohibited from downloading, cropping, altering, or utilizing these images for third-party paid digital advertising campaigns without an explicit usage buyout. - For Tier 3 (£850), Adonissja grants The Brand a non-exclusive, worldwide, royalty-free license to utilize the 5x delivered high-resolution assets for internal marketing, web storefronts, email newsletters, and Meta/Google paid advertisements for a period of twelve (12) months from the delivery date. Alteration or sub-licensing of the assets is prohibited. 2.2 Project Turnaround: Standard creative production, digital synthesis, and post-processing take 14 business days from asset/brief receipt unless a rush fee is explicitly contractually added. 3. TIER 4: ANNUAL CATEGORY OWNERSHIP & EXCLUSIVITY (£10,000) 3.1 Non-Compete Matrix: Upon receipt of the onboarding deposit or initial retainer installment, Adonissja legally guarantees Category Exclusivity. The Studio will not intentionally feature, tag, or enter into paid alignments with direct industry competitors (as explicitly outlined in the final signed creative contract) for a continuous duration of twelve (12) calendar months. 3.2 Payment Structure & Retainers: The £10,000 annual fee is executed as a non-refundable onboarding asset deposit followed by recurring monthly installments of £850, billed on the 1st of each calendar month. 3.3 Termination and Breach: Failure to process a monthly retainer installment within seven (7) business days results in an immediate suspension of content distribution, termination of the brand's local exclusivity lock out, and legal forfeiture of all digital media licenses previously delivered. 4. ARTISTIC INTEGRITY & ADVANCED SYNTHESIS CLAUSE 4.1 Curation Control: Adonissja treats digital synthesis as an elite, high-fashion art form. The Studio retains 100% creative control over visual outputs, including grain distribution, shadows, contrast formatting, and overall styling. We do not provide "raw, unedited" or pre-processed files under any circumstances. 4.2 Synthetic Asset Cleared Rights: All imagery provided by Adonissja consists of synthesized visual artwork.
